This Budget Kenya Business Development Opportunity Submission Agreement ("Agreement") governs all unsolicited material submitted to Springfield Technologies LLC. and its affiliates ("Budget Kenya") in the form of business proposals, inventions, ideas, suggestions, and other information ("Proposal"). This Agreement is entered into by and between Budget Kenya and you (the "Submitter"), as of the date that you accept this Agreement by clicking the "ACCEPT" button on this web page. Budget Kenya makes no representation or guarantee that any Proposal received from the Submitter will result in a business relationship of any kind.

All information collected is for the purpose of generating business development relationships and following it up with direct sales.

The Submitter's Proposal will be treated as non-confidential by Budget Kenya. Budget Kenya may use, make available, reproduce, or distribute the Proposal, without limitation. Any rights that the Submitter may have in the Proposal shall be limited exclusively to valid copyrights and/or patents.

Any and all information contained in the Submitter's Proposal may be used by, referred to, or distributed to Budget Kenya employees and/or third parties to determine the viability of the Proposal, and to determine whether Budget Kenya desires to enter into a business relationship with the Submitter.

No confidential relationship of any kind will exist or arise between the Submitter and Budget Kenya and/or third parties that may assist Budget Kenya in the evaluation of the Proposal. No obligation is to be implied against or assumed by Budget Kenya and/or these third parties with respect to the Submitter's Proposal.

By executing this Agreement, the Submitter is bound by the legal notices, including but not limited to privacy and copyright notices, posted on the Budget Kenya website, located at http://www.Budget-Kenya and there is no express or implied business relationship or prospect between Budget Kenya and the Submitter.

Any and all information provided by Budget Kenya to the Submitter will be considered confidential and proprietary. The Submitter agrees that it will only use such information for the sole purpose of providing comment to Budget Kenya. The Submitter will not disclose such information to third parties without obtaining prior written consent from Budget Kenya.

Nothing contained in this Agreement prevents Budget Kenya from contesting the Submitter's Proposal.

The Submitter is solely responsible for the contents of, and any fees or costs associated with the Proposal.

Budget Kenya will evaluate the Submitter's Proposal and inform the Submitter as to whether Budget Kenya has an interest in a business relationship with the Submitter as soon as practicable after the execution of this Agreement.

This Agreement will be effective as of the date entered into by the Submitter clicking the "ACCEPT" button on this web page. This Agreement shall continue until it is terminated by either party giving forty-five (45) days advance written notice to the other Party of the intent to terminate this Agreement.

Upon termination of this Agreement, the Submitter agrees that any information provided by Budget Kenya under this Agreement to the Submitter continues to be confidential and proprietary. Upon written request by Budget Kenya, the Submitter will return to Budget Kenya any such information and all copies thereof.

The rights and duties under this Agreement may be assigned by Budget Kenya without notice to the Submitter. The Submitter may not assign or transfer this Agreement without Budget Kenya's prior written consent.

The laws of the state of Pennsylvania shall govern the interpretation, validity and effect of this Agreement without giving effect to conflict of laws principles, and without regard to the place of execution or the place of performance. All disputes arising from this Agreement shall be resolved exclusively in the federal or state courts located in Bucks County, Pennsylvania. The Submitter consents to personal jurisdiction and venue in Bucks County, Pennsylvania for any disputes related to this Agreement.

Budget Kenya and the Submitter agree that no legal action between the parties may be commenced more than one year after the date that the cause of action arises.

If any clause of this Agreement is determined to be invalid or unenforceable, the valid clauses in the Agreement shall remain enforceable.

Nothing contained herein will prohibit Budget Kenya from offering, developing, or marketing products or services that are competitive to those contained in the Proposal.

This Agreement represents the entire agreement of the parties hereto relating to the Submitter's Proposal and Budget Kenya's evaluation thereof, and supercedes any modifications, prior oral discussions or written agreements between the parties with respect thereto.
